Terms of Service

1. Acceptance of Terms
By accessing or using LedgerHaul (“the Service,” “Platform,” “we,” “us”), you agree to be legally bound by these Terms of Service (“Terms”) and all policies incorporated by reference, including the Privacy Policy and Refund & Billing Policy. If you do not agree, you may not use the Service.
2. Description of Service
LedgerHaul provides software tools for payroll facilitation, bookkeeping, billing, reporting, and compliance support for transportation and logistics businesses. LedgerHaul is a technology platform only and does not provide legal, tax, accounting, or payroll advice.
3. Eligibility & Account Responsibilities
- You must be at least 18 years old and legally able to enter binding contracts.
- You are responsible for maintaining the confidentiality of your credentials.
- You are responsible for all activity under your account.
- You must ensure all information submitted is accurate, complete, and lawful.
4. User Responsibilities & Compliance
You are solely responsible for compliance with all applicable laws, including payroll, tax, labor, transportation, and financial regulations. You remain solely responsible for worker classification, pay rates, hours, deductions, filings, and authorizations.
5. Payments & Billing
Fees are billed via third-party payment processors (e.g., Stripe) according to the plan selected at checkout. Fees are billed in advance and are generally non-refundable except as expressly stated in the Refund & Billing Policy.
6. Third-Party Services
The Service may integrate with third-party providers including payment processors, payroll partners, banking networks, and communication services. LedgerHaul does not control and is not responsible for third-party services, outages, delays, errors, policy changes, or data handling by such providers. Use of third-party services is subject to their own terms and policies.
7. Data & Privacy
Use of the Service is governed by our Privacy Policy. You retain ownership of your data and grant LedgerHaul the rights necessary to process data to provide, secure, and operate the Service. You represent that you have all required rights and consents to submit data to the Service.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. LEDGERHAUL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERHAUL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, TAX PENALTIES, WAGE CLAIMS, OR REGULATORY FINES.
LEDGERHAUL’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless LedgerHaul and its affiliates from any claims, damages, liabilities, fines, penalties, and expenses arising from your use of the Service, your data, your violation of law, or your breach of these Terms.
11. Suspension & Termination
We may suspend or terminate access for violations of these Terms, non-payment, chargeback risk, fraud prevention, security concerns, or legal compliance requirements.
12. Governing Law
These Terms are governed by the laws of the United States and the state in which LedgerHaul operates, without regard to conflict-of-law principles.
13. Changes to Terms
We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the revised Terms.
